Die Sicherung der unternehmerischen Mitbestimmung bei grenzüberschreitenden Umwandlungen ist seit Jahrzehnten ein neuralgischer Punkt im europäischen Gesellschaftsrecht. Die divergierenden Ansätze der Mitgliedstaaten um die Mitbestimmung zeigten sich auch bei Erlass der sogenannten Mobilitätsrichtline, die das Europäische Umwandlungsrecht fortschreibt. Angelehnt an die bereits existierende Umwandlungsform der Verschmelzung schafft der Europäische Gesetzgeber erstmals ein geordnetes Verfahren für andere Umwandlungen. Mit dieser Anlehnung setzt sich jedoch auch die bestehende Problematik um die Auswirkungen auf die unternehmerische Mitbestimmung fort. Diese Untersuchung zeigt auf, wie die Vorgaben der Richtlinie im Wege der Umsetzung in nationales Recht optimiert werden können.
