Dieser Beitrag fokussiert sich auf die international-privatrechtlichen Fragen, die im Zuge einer grenzüberschreitenden Verschmelzung im Binnenmarkt auftreten können, für die entweder keine oder mangelhafte Regelungen auf Unionsebene existieren. In diesem Zusammenhang werden die prägenden Grundsätze des Europäischen Gesellschaftsrechts und insbesondere die Grundsätze der primär- und sekundärrechtlichen Bestimmungen zu grenzüberschreitenden Verschmelzungen werden dargelegt und anschließend wird auf die international-privatrechtlichen Fragen eingegangen, die in konkreten Verschmelzungsphasen auftreten. Dabei werden die Problemfelder bei den einzelnen Verschmelzungsphasen aufgezeigt und erörtert, wie die Kautelarpraxis mit diesen Fragen umgeht. Abschließend werden die Ergebnisse der Untersuchung zusammengefasst, anhand derer ein Lösungsvorschlag für weitere Harmonisierungsversuche erarbeitet wird.
